Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Wink Water LLC, a wholly owned subsidiary of Clearline Group LLC ("Wink Water," "we," "us," or "our"), governing your access to and use of winkwater.store and all related services (collectively, the "Site"). By accessing, browsing, or using the Site in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to any provision of these Terms, you must immediately discontinue all use of the Site.

1. Acceptance of Terms

By creating an account, adding funds to your wallet, placing an order, or otherwise engaging with any feature of the Site, you affirmatively accept these Terms and our Privacy Policy and Cookie Policy, which are incorporated herein by reference. These Terms apply to all visitors, registered users, and customers regardless of account status.

2. Eligibility & Age Requirements

You must be at least twenty-one (21) years of age to access and use this Site. By using the Site, you represent and warrant that you are at least 21 years old, are legally permitted to enter into a binding contract, and are not prohibited from using the Site under any applicable law. All products offered on this Site are intended exclusively for in vitro research, laboratory analysis, and educational study, and are not intended for human consumption, diagnosis, treatment, cure, or prevention of any disease.

3. Account Registration & Security

To access certain features of the Site, including wallet top-ups, ordering, and referral participation, you must register for an account using a valid email address. You agree to provide accurate, current, and complete information during registration and to promptly update such information to maintain its accuracy.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including passwords and any two-factor authentication tokens, and for all activities that occur under your account. You agree to immediately notify Wink Water of any unauthorized use of your account or any other security breach. Wink Water shall not be liable for any loss or damage arising from your failure to maintain adequate account security.

4. Identity Verification

To receive order fulfillment, you must complete identity verification through our third-party verification provider, Stripe Identity. This process requires a government-issued photo identification document and a live selfie photograph. Identity verification does not restrict your ability to add funds to your wallet or place orders, but orders will not be shipped until verification is complete.

You authorize Wink Water and its verification partners to collect, process, and store the identity information you submit for the purpose of verifying your identity and preventing fraud. You represent that all identity information you submit is authentic, belongs to you, and is not falsified, altered, or borrowed. Attempting to circumvent identity verification using another person's documents or manipulated media constitutes a material breach of these Terms and may result in account termination, order cancellation, and referral to law enforcement.

5. Wallet System & Payments

The Site utilizes a pre-funded wallet system. You may add funds to your wallet using accepted payment methods processed through Stripe, our third-party payment processor. Funds added to your wallet are available for immediate use in purchasing products on the Site.

5.1 Wallet Balance

Wallet balances are maintained in U.S. Dollars and have no cash value outside the Site. Wallet balances are non-transferable except through the Site's peer-to-peer transfer feature to other verified account holders. Wallet balances are not redeemable for cash, are not a deposit account, and are not insured by any governmental agency.

5.2 Transaction Finality

All wallet top-up transactions are final upon successful payment processing. All purchases deducted from your wallet are final at the time of order confirmation. Wink Water reserves the right to reverse or adjust wallet balances in cases of suspected fraud, chargebacks, or erroneous crediting.

5.3 Statement Descriptor

All charges processed through the Site will appear on your payment method statement as "Services and Supplies." This descriptor is used for privacy and discretion and does not affect the nature or validity of any transaction.

6. Orders & Acceptance

When you place an order, the total amount is deducted from your wallet balance immediately. You must have sufficient wallet balance to complete a checkout. All orders are subject to acceptance and product availability. Wink Water reserves the right to refuse, cancel, or limit any order at any time for any reason, including but not limited to suspected fraud, unauthorized use, product unavailability, pricing errors, or compliance concerns.

Upon successful order placement, you will receive an email confirmation at the address associated with your account. Order confirmation constitutes acceptance of your order by Wink Water, subject to identity verification and shipping verification.

7. Pricing & Availability

All product prices are listed in U.S. Dollars and are subject to change without notice. Prices displayed on the Site at the time of your order govern the transaction. Wink Water strives for accurate pricing but reserves the right to correct errors. If a pricing error results in an overcharge, Wink Water will issue a wallet credit for the difference or, at its discretion, cancel the order and refund the full amount to your wallet.

Product availability is subject to inventory levels. If a product you ordered is unavailable, Wink Water will notify you and issue a full wallet refund for the unavailable item(s).

8. Shipping & Delivery

You are responsible for providing an accurate and complete shipping address at checkout. Wink Water is not responsible for orders that are lost, delayed, or delivered to an incorrect address due to your error. If an order is returned to sender due to an address error, a re-shipping fee may apply.

Shipping times provided by Wink Water or its carriers are estimates only and are not guaranteed. Wink Water shall not be liable for delays caused by carriers, weather, customs inspections, or other events beyond its control. Risk of loss and title for products pass to you upon delivery to the designated shipping address.

9. Returns, Refunds & Cancellations

Due to the nature and sensitivity of our products, all sales are final. Returns, exchanges, and refunds are not available except where required by applicable law. If you receive a product that is damaged, defective, or incorrect, you must contact help@clearlinegroupllc.com within 48 hours of receipt with photographic evidence. Wink Water will, at its discretion, issue a wallet credit or arrange a replacement.

Orders may be cancelled prior to shipment. If an order is cancelled before it has been processed for shipping, the full amount will be refunded to your wallet balance. Orders that have already been shipped cannot be cancelled.

10. Product Restrictions

You agree not to use any product purchased from this Site for any purpose inconsistent with its intended research use. You are solely responsible for ensuring that your purchase, possession, handling, storage, and disposal of any product complies with all applicable federal, state, local, and international laws and regulations. Wink Water makes no representation regarding the legal status of any product in any specific jurisdiction.

11. Prohibited Activities

You agree not to:

• Use the Site for any unlawful purpose or in violation of any law
• Purchase products for human consumption, clinical use, or redistribution
• Falsify identity information or use another person's identity documents
• Engage in fraudulent wallet transactions, chargebacks, or payment disputes
• Attempt to reverse engineer, decompile, or disrupt the Site's infrastructure
• Use bots, scrapers, or automated tools to access or extract data from the Site
• Resell, redistribute, or commercially exploit products purchased from the Site
• Create multiple accounts to abuse the referral program or circumvent restrictions

12. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, product descriptions, software code, design elements, and user interface, is the exclusive property of Wink Water LLC or its licensors and is protected by United States and international intellectual property laws. You may not reproduce, distribute, publicly display, create derivative works from, or otherwise exploit any Site content without prior written consent from Wink Water.

The "Wink Water" name, logo, and all related marks are trademarks of Wink Water LLC. All other trademarks, service marks, and trade names referenced on the Site are the property of their respective owners.

13. Disclaimers & Warranties

The Site and all products are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, whether express, implied, or statutory. Wink Water expressly disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.

Wink Water does not warrant that the Site will be uninterrupted, error-free, secure, or that any product will meet your expectations or research requirements. Product descriptions, purity specifications, and concentration data are provided for informational purposes and are based on manufacturer specifications. Wink Water does not independently verify manufacturer claims beyond standard quality assurance protocols.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Wink Water LLC, Clearline Group LLC, their respective officers, directors, employees, affiliates, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Site, any product purchased, or these Terms.

In no event shall Wink Water's total aggregate liability for all claims arising out of or related to these Terms or the Site exceed the total amount you have paid to Wink Water through the Site in the six (6) months preceding the event giving rise to the claim. This limitation applies regardless of the legal theory under which liability is sought.

15. Indemnification

You agree to indemnify, defend, and hold harmless Wink Water LLC, Clearline Group LLC, and their respective officers, directors, employees, affiliates, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or third-party rights; (d) your misuse, mishandling, or unauthorized use of any product; or (e) any inaccurate or fraudulent information you provided.

16. Force Majeure

Wink Water shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, labor disputes, supply chain disruptions, carrier failures, internet or telecommunications outages, or power failures. Wink Water will make commercially reasonable efforts to resume performance as soon as practicable.

17. Account Suspension & Termination

Wink Water reserves the right to suspend, restrict, or terminate your account and access to the Site at any time, with or without cause and with or without notice. Grounds for termination include but are not limited to: violation of these Terms, suspected fraud, abusive behavior toward staff or other users, chargeback abuse, identity verification fraud, or any conduct that Wink Water determines is harmful to the Site, its users, or its business.

Upon termination, your wallet balance may be forfeited at Wink Water's discretion if the termination is for cause. You may request account closure at any time by contacting help@clearlinegroupllc.com. Any pending orders at the time of closure will be processed or cancelled at Wink Water's discretion.

18. Privacy & Data Protection

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, store, and protect your personal information. By using the Site, you consent to the data practices described in those policies. The Privacy Policy is incorporated into these Terms by reference.

19. Modifications to Terms

Wink Water may modify these Terms at any time by posting updated Terms on the Site. The "Last Updated" date at the top of this page indicates the most recent revision. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically for changes.

20. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product purchased shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in the state in which Wink Water LLC is registered. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights. Arbitration fees shall be allocated in accordance with the applicable arbitration rules. This arbitration provision survives termination of these Terms and your account.

21. Class Action Waiver

You and Wink Water agree that each party may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

22. Governing Law & Jurisdiction

These Terms and any dispute not subject to arbitration shall be governed by and construed in accordance with the laws of the State in which Wink Water LLC is registered, without regard to its conflict of law principles. You agree to the exclusive jurisdiction of the state and federal courts located in that State for any matters not subject to arbitration.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

24. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Accessibility Statement, and Research Disclaimer, constitute the entire agreement between you and Wink Water regarding the Site and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding such subject matter.

25. Electronic Signatures & Records

By using the Site, you consent to receive communications from Wink Water electronically, including via email and in-Site notifications. You agree that electronic records shall have the same legal validity as paper records, and that your use of the Site, including clicking "Add Funds," "Place Order," or similar buttons, constitutes an electronic signature binding you to the relevant transaction and these Terms.
